MR. JOSHUA ELMORE SETTLED AN ADMINISTRATIVE DISPUTE WITH THE FLORIDA OFFICE OF FINANCIAL REGULATION IN SEPTEMBER OF 2023. IT WAS ALLEGED THAT MR. ELMORE RENDERED INVESTMENT ADVICE, FROM A LOCATION IN FLORIDA, WITHOUT BEING REGISTERED BY THE OFFICE. MR. ELMORE AGREED TO THE STATE'S FINDINGS AND A FINAL ORDER WAS ISSUED AND AN ADMINISTRATIVE FINE WAS ISSUED TO SETTLE THE MATTER. AT THE TIME, MR. ELMORE WAS REGISTERED WITH AN SEC REGISTERED INVESTMENT ADVISOR AND WAS UNAWARE THAT HE WAS NOT APPROPRIATELY LICENSED IN FLORIDA. MR. ELMORE MAINTAINS HE NOTIFIED HIS PREVIOUS FIRM OF HIS PHYSICAL LOCATION IN FLORIDA AND WAS GIVEN THE IMPRESSION BY THAT FIRM THAT HE WAS PROPERLY REGISTERED IN FLORIDA AS AN ASSOCIATED PERSON OF THAT FIRM. EVERY EFFORT WAS MADE BY MR. ELMORE TO COME INTO COMPLIANCE WITH THE FLORIDA OFFICE OF FINANCIAL REGULATION UPON LEARNING HE WAS NOT PROPERLY REGISTERED.
