Allegations
The Securities and Exchange Commission ("Commission") deems it appropriate and in the public interest that public administrative proceedings be, and hereby are, instituted pursuant to Section 15(b) of the Securities Exchange Act of 1934 ("Exchange Act") and Section 203(f) of the Investment Advisers Act of 1940 ("Advisers Act") against Shawn E. Good ("Respondent"). On the basis of this Order and Respondent's Offer, the Commission finds that on July 15, 2022, an order of permanent injunction was entered by consent against Good, permanently enjoining him from future violations of Section 17(a) of the Securities Act of 1933 ("Securities Act"), Section 10(b) of the Exchange Act and Rule 10b-5 and Sections 206(1) and 206(2) of the Advisers Act, in the civil action entitled Securities and Exchange Commission v. Shawn E. Good, Civil Action Number 7:22-cv-0060, in the United States District Court for the Eastern District of North Carolina. The Commission's complaint alleged that between December 2012 and February 2022 Good perpetrated a multi-year Ponzi scheme which involved his clients at Morgan Stanley, and that in doing so, he defrauded his clients of at least $4.8 million, resulting in more that $2 million of investor losses.
