IN 1985 WHILE WORKING AS A REGISTERED REPRESENTATIVE, I WAS APPROACHED BY THE GENERAL AGENT OF THE FIRM TO BUY SOME SHARES IN A PRIVATE STOCK ISSUANCE. MY BROTHER, A FRIEND AND MYSELF DID BUY A SMALL AMOUNT OF SHARES AND I WAS PAID A SMALL COMMISSION FOR DOING THE TRANSACTIONS (LESS THAN A COMMISSION HAD I SOLD A MUTUAL FUND). LATER I DISCOVERED THE TRANSACTION HAD NOT BEEN APPROVED BY THE FUND AND I DID PAY A SMALL FINE IN 1990 RATHER THAN PAY THE LEGAL COSTS TO FIGHT THE ISSUE. I PAID THE AMOUNT WITHOUT ADMITTING OR DENYING THE ISSUE.
